Duties and Responsibilities of the Company Secretary

To perform the duties as prescribed by law, the scope of duties and responsibilities shall be as follows:

Preparation and Maintenance of Core Documents
- Prepare and maintain the Register of Directors.
- Prepare and maintain notices of Board of Directors' meetings, minutes of Board of Directors' meetings, and the Company's annual reports.
- Prepare and maintain notices of Shareholders' meetings and minutes of Shareholders' meetings.
Management of Vested Interest Reports
- Maintain the reports on vested interests filed by directors and executives.
- Submit a copy of the report on vested interests under Section 89/14 to the Chairman of the Board of Directors and the Chairman of the Audit Committee within seven (7) business days from the date on which the Company receives the said report.
Document Retention and Legal Compliance
- Establish and oversee an efficient retention system for documents or evidence related to information disclosure, ensuring that such records are maintained accurately, completely, and remain auditable for a period of not less than ten (10) years from the date of creation. This retention requirement extends to electronic data storage or any other system that allows for retrieval without any modification to the original content.
